How Do I Sell an LA Apartment Building With Partners?

For a Los Angeles apartment building, start with the current deed and governing agreement, not the asking price. Identify the record owner, entity type, voting and sale authority, required signatures, debt, capital accounts, partner advances, distribution rules, tax objectives, and dispute path. Obtain counsel-approved written authorization before listing, signing a purchase contract, amending material terms, or conveying the building. Then build one seller decision process that every authorized partner understands.

Co-ownership slowing the sale decision? Andres can organize the commercial sale file while your counsel confirms authority and partner rights.

Who Is Actually Selling the Apartment Building?

Order a current vesting deed and preliminary title information. The people who call themselves partners may own the real property directly as tenants in common, or they may own interests in an LLC, partnership, corporation, or trust that holds title. Those are different legal and tax structures. The record owner is the starting point for the listing, purchase agreement, deed, escrow, withholding, and distribution analysis.

Match the deed to current entity and trust records. Identify every title change, amendment, death, divorce, assignment, merger, conversion, manager change, or lender consent that could affect authority. A verbal understanding among partners does not replace the governing documents. A building in Koreatown owned by an LLC needs an LLC authority analysis even if two siblings treat it as a family partnership.

Do not infer economic ownership from title alone. One partner may have advanced repair funds, another may hold a note, and the operating agreement may allocate distributions differently from nominal percentages. Those claims affect partner economics, but counsel and the CPA must determine their legal and tax treatment. Kingside can keep the sale model organized without deciding who owns what.

Legal boundary: A broker can collect records and model sale outcomes. California counsel must determine title, entity authority, fiduciary duties, voting rights, waivers, partition rights, and enforceability.

Which Partners Must Approve the Sale?

For a Los Angeles apartment building, the answer depends on ownership form, the governing agreement, current law, and the specific act. Under California Corporations Code section 16301, each partner is an agent of a partnership for its business, but an act outside the ordinary course binds the partnership only if authorized by the other partners. Section 16401(j) states default decision rules: ordinary-course differences may be decided by a majority, while an act outside the ordinary course requires consent of all partners, subject to the agreement and other law. (California Corporations Code §§16301 and 16401, accessed August 26, 2026.)

For a California LLC, Corporations Code section 17703.01 distinguishes member-managed and manager-managed structures. In a member-managed LLC, members may have agency authority for the usual course, subject to actual authority limitations. In a manager-managed LLC, a member acting only as a member is not the LLC's agent. The articles, operating agreement, resolutions, filed records, and transaction facts require counsel review. (California Corporations Code §17703.01, accessed August 26, 2026.)

Do not convert those default statutes into a universal signature rule. An operating or partnership agreement may change voting thresholds, reserve major decisions, require notice, identify managers, create vetoes, or specify deadlock procedures. A trust, tenancy-in-common agreement, probate matter, marital interest, or court order can create another authority layer.

Not sure who can sign? Build the authority chart before choosing a price or accepting buyer terms.

What Should We Pull From the Governing Agreement?

A Los Angeles co-owner sale file should connect the governing agreement to each required decision, signer, economic allocation, and specialist review.

Read the provisions for purpose, management, voting, major decisions, transfer restrictions, capital calls, partner loans, distributions, indemnity, fiduciary duties, records, tax matters, dissolution, buyout, dispute resolution, and amendment. Ask counsel to prepare a short authority memorandum and transaction resolutions. The sale team should know who can approve price, counteroffers, credits, extensions, access, disclosures, and the final deed.

Check whether the agreement requires notice or an internal offer before a sale. A right of first refusal, buy-sell provision, or consent right can change the sequence. Do not market around a restriction because the partners believe nobody will enforce it. Resolve the process before confidential financial information is distributed or a buyer relies on seller representations.

California DRE reference material says listing documents commonly address ownership, title, and authority to sell, with exceptions identified. That broker-side check does not replace a legal opinion. It helps prevent a campaign from launching under signatures that later fail title or escrow review. (California DRE Reference Book, Chapter 20, accessed August 26, 2026.)

How Do We Compare Each Partner's Sale Economics?

For a Los Angeles sale, create one property-level seller net and a separate partner distribution schedule. The property model should include estimated price, debt payoff, prepayment items, brokerage, legal, escrow, title, transfer taxes, repairs, credits, reserves, withholding, and other reviewed costs. The distribution schedule should begin only after the property-level net is established.

Then identify capital accounts, ownership percentages, preferred returns, partner loans, unpaid distributions, approved advances, tax allocations, and any disputed claims. Use the governing agreement and the CPA's records. Do not solve a disputed reimbursement by quietly subtracting it from another partner's expected proceeds in the broker's worksheet.

Show a range rather than a false point estimate when price, credits, taxes, or claims remain unresolved. Partners often agree that a building should sell but disagree because each is using a different net. A shared assumption sheet makes the real disagreement visible. It may be price, debt, timing, a partner loan, tax basis, or distribution priority.

Partners using different sale numbers? Reconcile one property net and clearly label every partner-level assumption.

How Should Partners Make Decisions During the Sale?

For a Los Angeles apartment sale, adopt a written decision protocol before launch. Identify the authorized point person, information recipients, meeting cadence, confidentiality rules, approval threshold, response deadline, and who can communicate binding instructions to the broker, counsel, and escrow. If a unanimous vote is required for some matters, define how quickly it will be collected and documented.

Set offer criteria together. Partners should rank net price, proof of funds, deposit, contingencies, financing, assignment, access, buyer experience, closing date, exchange coordination, and certainty. The protocol should state who can reject an incomplete offer, who can issue a counter, and what changes require another formal vote.

Use one transaction log. Record materials released, tours, questions, offers, counters, approvals, contract changes, buyer notices, and partner instructions. Conflicting side conversations can create delay and legal risk. The broker should not choose between inconsistent partner directions. Escalate the conflict under the approved process.

Practical rule: The buyer should receive one authorized seller response. Internal debate belongs inside the partner protocol, not in competing emails to the other side.

Expect several partner approvals? Build the response calendar and authority matrix before offer day.

What If One Partner Does Not Want to Sell?

For a Los Angeles co-owned building, pause the marketing decision and identify the legal structure. The available path may include negotiation, internal buyout, refinancing, a change in management, mediation, dissolution, or litigation. A broker should not threaten a forced sale or predict a court outcome. Counsel should analyze the governing agreement, title, waiver provisions, fiduciary duties, and statutory remedies.

For direct concurrent ownership, California Code of Civil Procedure section 872.210 identifies who may commence a partition action, subject to statutory boundaries. Section 872.710 states that partition of concurrent interests is generally a right unless barred by a valid waiver, subject to the statute. These provisions do not prove that a particular co-owner will obtain a particular remedy, timetable, or sale. (California Code of Civil Procedure §§872.210 and 872.710, accessed August 26, 2026.)

If a court orders a partition sale, section 873.820 provides an order for applying proceeds: sale expenses, partition costs, liens by priority, then distribution of the residue according to shares determined by the court. That is not a broker-prepared distribution model and does not establish what a voluntary sale should pay each partner. (California Code of Civil Procedure §873.820, accessed August 26, 2026.)

Keep a voluntary-sale option separate from the litigation analysis. Counsel may be able to structure a buyout, reservation of claims, escrow holdback, or agreed sale process, but the commercial terms must reflect the actual dispute. Buyers should not be told that authority is settled until counsel confirms it.

A partner is not aligned? Kingside can model voluntary sale outcomes for counsel-led discussions without giving legal advice.

How Do Tax, Withholding, and 1031 Goals Affect Partners?

For a Los Angeles apartment sale, determine the taxpayer that owns the building and the tax reporting that follows from that structure. Partners should not assume they can each choose cash or a 1031 exchange independently when an entity owns and sells the real property. The CPA, qualified intermediary, and tax counsel should review taxpayer identity, basis, debt, distributions, exchange timing, and any proposed restructuring before the sale.

California FTB Publication 1016 states that Form 593 is generally filed for each seller who is not married to or in a registered domestic partnership with another seller, using proportional shares. Entity and co-owner situations require property-specific guidance. Confirm the seller names, exemption or calculation method, allocation, and escrow instructions before closing. (California FTB Publication 1016, accessed August 26, 2026.)

Separate economic goals early. One partner may prioritize immediate cash, another tax deferral, and another a delayed close. The property cannot satisfy incompatible closing instructions unless the legal and tax structure supports them. Model alternatives before signing a purchase agreement whose timing or buyer rights eliminate an option.

What Should the Partner Sale File Contain Before Closing?

For a Los Angeles closing, keep the vesting, entity, agreement, resolutions, signer certificates, disclosure approvals, debt and payoff records, partner instructions, distribution schedule, withholding documents, and escrow contacts in one controlled file. Update the authority record when the contract is amended, price changes, credits are approved, closing is extended, or the buyer entity changes.

Confirm who signs the deed, settlement statement, affidavits, tax forms, escrow instructions, and entity certificates. Confirm where proceeds go and whether any holdback, partner dispute, lien, or exchange account changes distribution. Escrow, title, counsel, and the CPA own those determinations. The broker should verify that the required professionals received the current information.

Prepare a closing communication plan. Partners should know which questions go to the broker, counsel, CPA, qualified intermediary, lender, title, or escrow. Keep account and wire information out of informal email threads, and independently verify instructions through approved channels. A shared transaction calendar can prevent one missing signature from delaying an otherwise ready LA multifamily closing.

Frequently Asked Questions

Can one partner list the apartment building without the others?

Do not assume so. The answer depends on who holds title, the ownership form, the governing agreement, actual authority, required voting, and current law. Have California counsel confirm written authority before signing a listing or purchase agreement.

Does a majority owner automatically control the sale?

No universal rule makes ownership percentage alone decisive. Entity type, direct title, governing terms, reserved decisions, fiduciary duties, and statutory defaults matter. Counsel should determine the applicable approval threshold and signer authority.

What if the partners disagree about the asking price?

Use one current property underwriting model and document each partner's assumptions about NOI, debt, costs, taxes, claims, and distributions. If the governing approval cannot be reached, follow the agreement's dispute process with counsel.

Can one partner do a 1031 exchange while another takes cash?

Not automatically, especially when an entity is the taxpayer selling the building. The partners need advice from a CPA, qualified intermediary, and tax counsel before marketing or restructuring around different tax objectives.

Can a partner force the sale of a jointly owned building?

California partition statutes may provide remedies for certain concurrent owners, but title, waivers, entity ownership, defenses, and case facts control. Only counsel can evaluate rights, likely procedure, cost, timing, and possible outcomes.

How should sale proceeds be divided?

Distribution depends on title, governing agreements, debt, liens, capital accounts, partner loans, approved reimbursements, taxes, escrow instructions, and any court order. The CPA, counsel, title, and escrow should approve the final allocation.

Want to know whether the sale file is ready? Start with the deed, governing agreement, authority resolution, debt, and shared net model.
