Andres Diaz comparing apartment building sale and refinance paths in Los Angeles

Sell a Los Angeles apartment building when current net proceeds and risk transfer are more valuable than its after-debt future cash flow. Refinance when a written loan commitment produces enough usable proceeds and the property's verified NOI can support debt service, reserves, maturity risk, and planned capital work through a realistic stress case.

The decision is not “take cash now” versus “keep the property forever.” It is a comparison made on the same date with the same rent roll, expenses, debt payoff, capital plan, and owner objective. One column measures net sale proceeds after transaction costs and owner-specific tax. The other measures net refinance proceeds plus the value and risk of continued ownership.

Do not use a broker's estimated rate or a lender's early conversation as a refinance result. In the Federal Reserve's July 2026 survey, moderate net shares of banks still described multifamily lending standards at the tighter end of their historical ranges, although fewer did so than in July 2025 (Federal Reserve SLOOS, July 2026). The actual answer begins with a written term sheet and ends with a commitment whose conditions the property can satisfy.

What Must the Capital Accomplish?

Start with the Los Angeles owner's required outcome, not the property's estimated value. Is the goal to retire debt, divide partnership capital, fund another acquisition, reduce management exposure, complete a 1031 exchange, create estate liquidity, or recapitalize repairs? The same building can produce opposite recommendations for owners with different constraints.

Set a minimum liquidity target, acceptable annual cash flow, maximum new debt burden, planned hold period, and risk limits. Include maturity, recourse, reserves, capital expenditure, tenant concentration, insurance, and management capacity. If the owner cannot state the outcome, the comparison can be manipulated by whichever option looks better on the first page.

Use three cases: conservative, base, and stress. The conservative case asks whether each path still meets the minimum goal with lower sale pricing or lower loan proceeds. The base case uses supportable evidence. The stress case adds a retrade, appraisal reduction, reserve, repair holdback, or delay. The concrete result is a written decision threshold for each case.

Scenario bandSale inputsRefinance inputsDecision test
ConservativeLower supportable price; full closing-cost reserveLower loan proceeds; higher debt-service and reserve loadDoes either path still meet the minimum liquidity objective?
BaseBroker-supported price; documented ordinary transaction costsWritten lender proceeds; documented NOI and underwritingWhich path produces the stronger risk-adjusted result for the planned hold?
StressBuyer retrade; longer marketing period and added carrying costLower appraisal; repair holdback, added reserves, or delayDoes either path create unacceptable liquidity, maturity, or execution risk?

How Do I Calculate Net Sale Proceeds?

The sale column starts with a supportable price range based on the building's rent roll, NOI, cap rate, condition, location, unit mix, and buyer pool. Subtract loan payoff, prepayment cost, brokerage, escrow, title, transfer tax, agreed credits, and other closing items. Then give the schedule to the owner's CPA or tax attorney for an owner-specific estimate.

For City of Los Angeles closings after June 30, 2026, the Office of Finance lists ULA thresholds of $5.4M and $10.9M. It describes a 4% tax above $5.4M and below $10.9M, and 5.5% at $10.9M or more, subject to City rules and exemptions (Los Angeles Office of Finance, accessed August 2026). Do not apply those rates by memory to a county property outside City limits or assume an exemption.

The sale path also transfers future operating, refinance, capital, insurance, and management risk. That risk transfer has value even though it is not a line on the settlement statement. Conversely, selling creates reinvestment and tax-planning decisions. The measurable sale output is cash available after closing and tax planning, plus a list of risks the owner no longer carries.

How Do I Calculate Usable Refinance Proceeds?

The Los Angeles refinance column begins with a lender's proposed loan amount, interest structure, amortization, maturity, recourse, reserves, covenants, appraisal requirements, third-party reports, deposit, and closing conditions. Subtract existing payoff, prepayment cost, lender fees, appraisal, environmental and physical reports, legal, title, escrow, recording, and funded reserves.

Not every closing cost is treated like current interest for tax purposes. IRS Publication 527 states that certain expenses paid to obtain a mortgage, including mortgage commissions, abstract fees, and recording fees, are capital expenses rather than currently deductible interest. It also says interest allocable to cash-out proceeds not used for the rental activity generally cannot be deducted as a rental expense (IRS Publication 527, 2025). The CPA should trace the use of proceeds.

A preliminary quote can change after appraisal, rent-roll review, insurance, environmental work, physical assessment, or lender committee. Record each condition as open, satisfied, waived, or failed. The measurable refinance output is usable cash after all payoff and costs, supported by terms and conditions the owner can actually close.

How Should I Stress-Test NOI, Debt Service, and Capital Work?

Refinancing keeps the building and all its operating risk. Reconcile scheduled rent to collected rent, concessions, vacancy, laundry or parking income, utilities, payroll, repairs, management, insurance, taxes, legal costs, and recurring services. Separate one-time capital work from recurring operating expense, but do not delete ordinary maintenance to improve NOI.

Then apply the lender's debt service and reserve structure. Model vacancy, expense growth, insurance renewal, a major repair, and a delayed unit turn. A new loan can solve liquidity today while creating a difficult maturity later. Record the exit plan for the new maturity instead of assuming another refinance will always be available.

Submarket context matters. A small Highland Park or Eagle Rock building with stable low leverage may support a different choice from a Koreatown asset facing near-term systems work or concentrated lease rollover. The stress case should use the building's actual weaknesses. The concrete output is annual cash after debt service and reserves under all three scenarios.

What Tax Questions Need Professional Analysis?

A Los Angeles apartment sale is a disposition. IRS Publication 544 explains that gain generally begins with amount realized above adjusted basis, and adjusted basis reflects items including improvements and depreciation. Depreciable property can also involve section 1250 and other recapture analysis and Form 4797 reporting (IRS Publication 544, 2025). A broker can assemble inputs, but the owner's tax adviser calculates the result.

A refinance is debt, but that does not justify the slogan “tax-free cash” as complete advice. Interest allocation can depend on use of proceeds, loan costs have their own treatment, and the owner remains exposed to the property's later disposition. Entity, trust, partnership, estate, and distribution facts can change the analysis.

If a 1031 exchange is under consideration, start before closing and use a qualified intermediary and tax counsel. IRS Publication 544 states that like-kind nonrecognition applies to qualifying real property held for investment or productive business use, not property held primarily for sale. IRS Form 8824 and its 2025 instructions identify the federal reporting form for an exchange of qualifying business or investment real property (IRS Form 8824 instructions, 2025). The measurable tax output is a written adviser estimate for each path, not a broker's tax opinion.

How Do Timing, Certainty, and Delay Compare?

A Los Angeles sale requires pricing, marketing, offers, buyer diligence, title, financing, and closing. A refinance requires lender selection, application, appraisal, financial and rent-roll review, title, insurance, third-party reports, committee approval, and closing. Neither timeline is real until the responsible parties identify open conditions.

Calculate carrying cost during the process: debt service, taxes, insurance, payroll, utilities, repairs, management, and opportunity cost. Add any loan-maturity deadline or partner distribution date. A path that produces more cash but misses the owner's required date may not be viable.

Use a parallel process when appropriate. Obtain a broker valuation and lender terms during the same information window, using the same rent roll and operating statement. Compare on a fixed decision date, then commit to the path that meets the threshold. The concrete outcome is a signed decision memo with evidence, deadlines, and advisers responsible for unresolved conditions.

Bottom line: refinance is not the default “keep” answer, and sale is not the default “cash out” answer. Choose the path whose documented cash result, future obligations, timing, and stress case fit the owner's objective.

Frequently Asked Questions

How do I compare a sale with a refinance?

Build both paths from written property-specific numbers. For a sale, subtract debt payoff and transaction costs from supportable price, then have a tax adviser estimate taxes. For a refinance, subtract payoff and loan costs from committed proceeds, then model future debt service, reserves, capital work, and ownership risk.

Is refinancing an LA apartment building easier in 2026?

Do not assume easy approval. The Federal Reserve's July 2026 survey said moderate net shares of banks still viewed multifamily lending standards at the tighter end of their historical ranges, although fewer did so than in July 2025. Your lender's written terms and underwriting control the actual result.

Are refinance proceeds taxable income?

A broker should not answer that for a specific owner. Refinancing creates debt rather than a property disposition, but use of proceeds, ownership structure, deductions, and later repayment or disposition can affect tax treatment. Have the owner's CPA or tax attorney document the consequences before closing.

How does Measure ULA affect the decision?

It can materially change net sale proceeds for City of Los Angeles property. For closings after June 30, 2026, the City states thresholds of $5.4M and $10.9M, with 4% and 5.5% brackets subject to City rules and exemptions. Use escrow and tax counsel to calculate the actual transfer tax.

Should I refinance if I still believe in the neighborhood?

Neighborhood conviction is only one input. Refinance when the documented proceeds meet the owner's goal and future NOI can support debt service, reserves, maturity, and capital needs under a stress case. Sell when current net proceeds and risk transfer are stronger than the value of continued ownership.

What documents do I need for this decision?

Use a current rent roll, trailing operating statements, leases, tax and insurance bills, capital plan, loan statements, prepayment terms, title report, broker valuation, written lender term sheet, appraisal assumptions, loan-cost schedule, and a tax estimate. Compare both paths as of the same date.
